Website Protection Plan – Monthly Subscription

SERVICE TERMS AND CONDITIONS:
Before signing up for any Proflight Media LLC monthly services or subscriptions you are required to read, understand and agree to the terms below.

This agreement is effective as of the signup date, between the person and or organization who signs up (hereafter referred to as “Client”) and Proflight Media LLC (hereafter referred to as “Proflight Media”).

ADDITIONAL WORK: Any and all work needed beyond the scope of this “Website Protection / WordPress Maintenance Plan” is subject to additional charges per Proflight Media’s hourly service rate of ($150.00) per hour. A project proposal detailing additional work and or recommendations will be provided before such work will commence.

DESCRIPTION OF SERVICES: The “Website Protection Plan” is offered for websites running on a single-site installation of WordPress. Multi-site WordPress installations will require a separate agreement and or monthly fee for every WordPress installation and or domain.

The “Website Protection Plan” includes the following.

1. Updating the Client’s Core WordPress Installation, Themes and Plugins: Our team will update your core WordPress installation, plugins and themes on a monthly basis. Note: Client is responsible for keeping all theme and plugin licenses up to date and renewing or repurchasing such licenses as needed. If theme or plugin licenses are not renewed by the client, updates for said themes and plugins may be impossible. Our team will make sure your website is backed up before updating and offer limited support if any issues that arise. The sole remedy for theme or plugin conflicts resulting from the update process will be to reinstate the WordPress installation from the last known “good” website backup.

2. Scheduled Website Backups: Our team will backup your website daily. Backups will be stored in the cloud and on our secure server for safe-keeping. Proflight Media will maintain a 30-day backup archive for your entire website & associated WordPress database.

3. Security Monitoring & Cleanup: Our team will scan your WordPress website for malware, viruses, security threats and other potential problems on a weekly basis. We then backup the website & database to ensure if something goes wrong we can restore your website to the last known “good” backup.

4. Compatibility Support: We offer up to one hour (1 hr) of compatibility support per month. If we can’t fix the issue within that time, we will rollback your website to the latest known compatible backup and contact you with recommendations.

WEBSITE ACCESS INTERRUPTIONS: Your access to and use of your organization’s website may be interrupted from time to time as a result of the backup process, updating, maintenance or repair of the site, or any other reason within or outside the control of Proflight Media.

ACCESS AUTHORIZATION: The Client hereby authorizes Proflight Media to access any and all accounts needed to perform the services mentioned above. Client will provide Proflight Media with all associated usernames, passwords and or access credentials in a timely manor. Failure to do so may result in a delay of services.

ONGOING MAINTENANCE: This agreement allows for simple website maintenance including updating WordPress, themes and plugins. It does not include changes or reconstruction of pages, posts, site navigation, menus, integrated third party tools, software and or attempted updates / changes by the Client resulting in damages or repairs thereof.

RELEASE AND INDEMNITY: You hereby expressly and irrevocably release and forever discharge Proflight Media LLC, its affiliated and associated companies, and their respective directors, officers, employees, agents, representatives, independent and dependent contractors, licensees, successors and assigns of and from any and all actions, causes of action, suits, proceedings, liability, debts, judgments, claims and demands whatsoever in law or equity which you ever had, now have, or hereafter can, shall or may have, for or by reason of, or arising directly or indirectly out of your use of Proflight Media’s Services.

You hereby agree to indemnify and hold harmless Proflight Media, its affiliated and associated companies, and their respective directors, officers, employees, agents, representatives, independent and dependent contractors, licensees, successors and assigns from and against all claims, losses, expenses, damages and costs (including, but not limited to, direct, incidental, consequential, exemplary and indirect damages), and reasonable attorneys’ fees, resulting from or arising out of (i) a breach of these Terms, (ii) the use of Proflight Media’s Services, by you or any person using your account, or (iii) any violation of any rights of a third party.

LIMIT OF LIABILITY: In no event shall Proflight Media LLC be liable under contract, tort, strict liability, negligence or other Legal theory with respect to the site, the service or any content (i) for any lost profits or Special, indirect, incidental, punitive, or consequential damages of any kind whatsoever.

CANCELLATION POLICY: The “Website Protection Plan” offered by Proflight Media is a month to month service. There is no long-term contract, you may cancel at any time. No refunds will be issued. All cancellation request should be sent to support@proflightmedia.com.
